ENGIE EPS: Independent expert appointed in connection with TCC\u2019s draft simplified tender offer<\/span><\/b><\/p>\n

The Board of Directors of ENGIE EPS, upon recommendation of its ad hoc<\/em> committee and in accordance with Article 261-1 I, 1\u00b0 and 2\u00b0 of the general regulation of the French Financial Markets Authority (Autorit\u00e9 des march\u00e9s financiers<\/em>, \u201cAMF<\/u>\u201d), appointed Associ\u00e9s en Evaluation et Expertise Financi\u00e8re as independent expert in connection with the draft simplified tender offer targeting the outstanding shares of Engie EPS SA (\u201cENGIE EPS<\/u>\u201d, EURONEXT PARIS: EPS) (the \u201cOffer<\/u>\u201d) that Taiwan Cement Corporation (\u201cTCC<\/u>\u201d or the \u201cCompany<\/u>\u201d; TWSE: 1101) will initiate following completion of the acquisition of a 60.48% stake in ENGIE EPS from ENGIE, both at the price of \u20ac17.10 per ENGIE EPS share.<\/p>\n

In this context, TCC informed ENGIE EPS that it is aiming for ENGIE EPS to remain listed on the regulated market of Euronext Paris and, therefore, that it is not planning to request the implementation of a squeeze-out procedure upon closing of the Offer. TCC also wishes to maintain a high float level and significant share liquidity.<\/p>\n

TCC\u2019s majority shareholding will provide ENGIE EPS with a long-term shareholder which is a major player in the renewable energy and energy storage industry, as well as with an industrial partner to support its international growth and assist in finding the required financial supports.<\/p>\n

This press release is not, and shall not in any circumstances be considered as, a tender offer on ENGIE EPS\u2019 shares by TCC, its affiliates or any potential concert party.
